What are the Differences Between Professional and Commercial licenses in the UAE

Some of the key differences between Professional and Commercial licenses in UAE lie in the types of business activity, office requirements, degree requirements, capital and ownership structure, tax implications, and liability structures. It is important to understand the differences between the two licenses in order to decide which is best suited for your business.
Professional Licenses
Professional Licenses are made for professionals such as consultants, doctors, lawyers, accountants, teachers, designers, and software engineers. These licenses are based on professional skills. They are usually issued under a Sole Establishment or a Civil Company.
Commercial Licenses
Commercial Licenses are made for businesses who are involved in trading activities. This includes activities such as buying, selling, importing, or exporting goods. These licenses are focused on tangible goods. They are usually issued for Limited Liability Companies (LLCs).
Physical Office
A physical office space is not required for professional licenses. They are given the flexibility to use virtual offices or flexidesks. This leads to lower costs as there is no need to lease a physical office space to conduct business.
A physical office space is mandatory for LLCs in the Mainland. This means that any LLC having a commercial license must lease a physical office space.
Attested degree
Some professional licenses (such as lawyers, engineers, accountants, etc.) may require additional approvals and attested university degrees of the applicant. For example, to open a medical clinic, you must provide a degree that has been attested by the Ministry of Foreign Affairs in the home country and the UAE. Activities like Law require passing a local equivalency exam or getting approval from a specific regulator. General commercial licenses do not require to hold any specific degree or qualifications.
Liability
Holders of professional licenses have unlimited liability. They are not viewed as separate from the entity they establish. The holders of commercial licenses usually establish LLCs. This allows them to have a separate legal entity from their business. Their liability is therefore limited to their contribution to their capital.
Share Capital
The minimum share capital required to set up a commercial business with a commercial license is much higher than setting up a business with a professional license.
Tax Implications
Both the license types are subject to the UAE's 9% Corporate Tax. This tax is applicable on profits exceeding AED 375,000. Additionally, if your taxable supplies and imports exceed AED 375,000 annually, registration for VAT (5%) is mandatory. There is no tax holiday for professional licenses over commercial ones.

The type of license you pick depends mainly on the type of business activity. If the business activity sells or trades goods, then a commercial license will be required. Whereas if the business activity involves consultancy, marketing or any similar activities, then a professional license will be required. However, other factors such as costs, timelines and application procedure may also play a role in making the decision.
